Services Provided

We provide digital transformation, process automation, integration development, and value-driven technology solutions. Specific services are outlined in individual project agreements or proposals. Custom development, consulting, and system integrations may be subject to separate terms as agreed in writing.

Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use our Services.

Client Responsibilities

You agree to provide accurate information, timely approvals, and necessary access (e.g., to APIs, tools, or accounts) to facilitate successful project delivery. Delays caused by client inaction may affect project timelines and may be subject to additional charges.

Fees and Payment Terms

All fees and payment schedules will be clearly defined in the project scope or agreement. We follow a value-first approach: if we cannot deliver meaningful impact—such as cost savings or revenue gains—we will not charge for that work.

Late payments are subject to a 1.5% monthly interest (or the highest rate allowed by New Jersey law, whichever is lower). We reserve the right to suspend services for unpaid invoices.

Intellectual Property

All content, automations, code, and documentation developed by us during the course of our services remain our intellectual property until payment is made in full. Upon full payment, the client receives a non-exclusive, royalty-free license to use the deliverables for internal business purposes.

Confidentiality

We treat all client data, communications, and materials as confidential and agree not to disclose such information to third parties without written consent, except as required by law.

Disclaimers

Our Services are provided “as is” and “as available.” While we strive to deliver high-quality solutions, we do not guarantee specific outcomes unless explicitly stated in a signed agreement.

We are not responsible for interruptions, limitations, or performance issues caused by third-party platforms or software (e.g., Looker Studio, Airtable, Zapier, etc.).

Limitation of Liability

To the fullest extent permitted by New Jersey law, our liability for any claim arising from your use of our Services shall not exceed the amount paid by you to us for those Services in the six (6) months prior to the claim.

We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or business interruption.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

You agree that any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.

Modifications

We may update these Terms from time to time. If we do, we’ll post the revised version and update the “Effective Date” above. Continued use of our Services after changes become effective constitutes your agreement to the updated Terms.
